Situation 07Company filings abroad

Our companies abroad run with nobody watching the filings

A company abroad keeps its own calendar of filings, whether or not anyone at head office is watching it.

In short

At stake
The directors' personal position and the company's standing with its bank.
The exposure
In the Netherlands, for example, filing accounts more than 12 months after the year-end is an economic offence. If the company goes bankrupt within three years, the law presumes the late filing was an important cause, and the directors are liable for the shortfall unless they rebut that presumption. A bank may block the account when the ownership register is wrong.
What Lexaero delivers
One calendar for every entity, filings prepared for signature or, in the Netherlands, made by Lexaero as your registered authorised representative, and registers that match the facts.

Country by country

General orientation as at October 2026. It is not legal advice, and what applies to you turns on facts this page cannot see.

Corporate housekeeping

In the Netherlands
Annual accounts go to the Chamber of Commerce within 8 days of adoption, and no later than 12 months after the year-end. Changes of directors and of beneficial owners are reported within a week.
In the EU
The filing calendar differs in every member state, and in several of them late filing falls on the directors personally.
In Switzerland
Changes of directors, signatories, registered office and articles are filed with the cantonal commercial register, and the company keeps its own register of shareholders. The Transparency Act has applied since 1 October 2026. Companies must report their beneficial owners to a new federal register: new companies within a month of formation, existing ones within transitional deadlines that depend on the company.
In the United Kingdom
A confirmation statement goes to Companies House at least once a year, and a private company files its accounts within nine months of the year-end.
